Terms of Service

1. Agreement to these terms
Backwood Media ("we", "us", or "our") operates Backwood Media SPORTS (the "Service"), available at sports.backwoodmedia.com and related domains. By creating an account or otherwise using the Service, you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the Service.
2. What the Service does
Backwood Media SPORTS lets coaches, players, and teams organize and privately share sports footage and photos. Typical activities include:
- Creating teams, seasons, tournaments, and games to organize footage
- Linking video from YouTube, Vimeo, or a direct file URL, or uploading a video directly to your own connected YouTube channel, where enabled
- Linking photo galleries hosted on Dropbox or Google Drive
- Inviting other people to view specific teams, games, or videos by email or link
The Service is a sharing and organization layer over content you already own or have rights to use. We do not claim ownership of your footage, and links to third-party services (YouTube, Vimeo, Dropbox, Google Drive) remain subject to those services' own terms.
3. Eligibility and account holders
You must be at least 13 years old to create an account. By creating an account, you confirm that either (a) you are 18 or older, or (b) you are between 13 and 17 and have your parent's or legal guardian's permission to create the account and use the Service. If you are a parent or guardian and believe your child created an account without your permission, contact support@backwoodmedia.com and we will address it.
You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us at support@backwoodmedia.com if you suspect unauthorized use.
4. Team rosters, players, and minors
Many teams on Backwood Media SPORTS include minors as players. If you create or manage a team, roster, or invite list ("Account Administrator"), you represent and warrant that you have secured whatever consent, permission, or release is required — from parents, legal guardians, players, coaches, governing athletic bodies, leagues, or schools — before uploading a minor's name, photo, or video, or inviting a minor to view content, and before sharing that content with anyone else through the Service. This includes complying with any recording or media policy your own team, school, league, or association applies to footage of its players, in addition to any individual parental consent you obtain.
Backwood Media is not a party to, and is not responsible for obtaining, any consent described in this section — that responsibility belongs to the Account Administrator who uploads or shares the content. Backwood Media provides the Service to store and deliver content to the people an Account Administrator chooses to share it with, and acts on their instructions in doing so.
5. Your content
You retain ownership of the footage, photos, names, and other content you add to the Service ("Your Content"). By submitting Your Content, you grant Backwood Media a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely to operate, maintain, and improve the Service and to deliver it to the people you choose to share it with.
You are solely responsible for Your Content and confirm that you have the necessary rights to share it (including any consents required to depict identifiable people, and the consents described in Section 4). We have no general obligation to monitor Your Content, but we may review, remove, or restrict access to content we reasonably believe violates these Terms or applicable law, or in response to a valid takedown request under Section 7.
6. Acceptable use
You agree not to use the Service to:
- Upload or share content you do not have the right to share
- Violate any applicable law, or the rights of any third party, including privacy or publicity rights of players, coaches, or other individuals
- Upload malicious code, or attempt to disrupt, overload, or gain unauthorized access to the Service or other accounts
- Scrape, harvest, or resell data from the Service without our written permission
- Harass, bully, or endanger any person, especially minors depicted in shared footage
We may suspend or terminate access for accounts that violate this section or otherwise misuse the Service.
7. Copyright complaints (DMCA)
If you believe content on the Service infringes your copyright, send a notice to our designated agent at support@backwoodmedia.com including: (a) a description of the copyrighted work you claim is infringed; (b) the specific content and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act on the copyright owner's behalf; and (f) your physical or electronic signature. We will remove or disable access to content in response to a valid notice and may terminate accounts of repeat infringers.
8. Sharing and privacy controls
Footage and galleries on the Service are private by default and are only visible to people you explicitly invite or to whom you send a share link. You control who receives invitations and links. Because links can be forwarded by recipients, only share with people you trust to respect the privacy of everyone depicted.
9. Third-party services
The Service integrates with third-party platforms, including Google (Sign-In, YouTube Data API, Google Drive, Google Analytics), Dropbox, and Vimeo. Your use of those platforms through the Service is also governed by their own terms and privacy policies. We are not responsible for the availability, content, or practices of third-party services.
10. Plans and billing
The Free plan is available at no cost today and includes usage limits (such as owned teams and linked videos) described on our pricing page. Paid Team, Club, and Program plans are described on our pricing page and may be introduced in the future. If you purchase a paid plan, we will present the price, billing frequency, and cancellation terms — including any automatic-renewal disclosures required by law — before you pay, and those terms will supplement these Terms. Fees are non-refundable except where required by law or expressly stated at checkout.
11. Indemnification
You agree to defend, indemnify, and hold harmless Backwood Media from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your breach of Section 4 (Team rosters, players, and minors) or Section 6 (Acceptable use); or (c) your violation of any law or any third party's rights. We will provide you notice of any such claim and, at your expense, you may participate in its defense with counsel of your choosing.
12. Termination
You may stop using the Service and delete your account at any time by contacting support@backwoodmedia.com. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where practical. Sections that by their nature should survive termination — including Sections 4, 5, 6, 11, 13, and 15 — will survive.
13. Disclaimers and limitation of liability
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
To the fullest extent permitted by law, Backwood Media will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) $100.
14. General provisions
Severability. If a court holds any provision of these Terms unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will stay in full force.
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Backwood Media regarding the Service, and supersede any prior agreements on the same subject.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages, natural disasters, or acts of government.
Relationship of the parties. You and Backwood Media are independent parties; nothing in these Terms creates a partnership, joint venture, or agency relationship.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you in the app or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws principles, and any disputes will be resolved in the state or federal courts located in Oregon, unless applicable law requires otherwise.
